## 1. Scope Overview

This Statement of Work defines the engagement between Oction Labs ("Oction") and [CLIENT NAME] ("Client") for the deployment of a private, on-premise AI system across multiple sites.

The scope includes installation of a sovereign AI deployment at [PRIMARY LOCATION] plus [NUMBER] additional locations: [ADDITIONAL LOCATIONS]. Each site operates an isolated knowledge base with option for cross-site knowledge sharing where permissions allow. Staff query the system and receive cited, retrieval-grounded answers from institutional materials. No data leaves Client infrastructure. No third-party model dependency.

This SOW covers multi-site build and deployment phases. Ongoing operation is addressed in Section 5 and the monthly retainer.

## 2. Deliverables

All deliverables are subject to Client review and acceptance. Client has 5 business days to review each deliverable and either accept or provide written feedback. Acceptance is deemed given if no written objection is received within the review period.

Enterprise deployments include a 30-day stabilization period post-deployment. Issues identified during stabilization are addressed at no additional cost.

The Build phase spans 10 weeks across all sites, with primary and satellite deployments running in parallel where possible. Timeline assumes timely Client provision of access, materials, and feedback.

## 4. Client Responsibilities

Client shall:

**Documents and Data**
- Provide access to document repositories across all sites within 5 business days of request
- Deliver documents in agreed formats (PDF, DOCX, TXT, or as specified)
- Confirm data classification and cross-site sharing permissions
- Identify subject matter experts at each location for knowledge validation
- Designate data stewards per site for ongoing knowledge base management

**Staff Time**
- Allocate [SPECIFIC DELIVERABLES] hours of stakeholder time for Discovery interviews per site
- Provide 2-3 staff members per site for UAT participation
- Schedule administrator trainees per site for 4-hour training sessions
- Ensure end-user availability for onboarding sessions at each location
- Assign project manager or coordinator for multi-site coordination

**Decisions and Approvals**
- Designate a single primary point of contact with authority to commit all sites
- Establish project steering committee with representatives from each site
- Provide feedback on deliverables within 5 business days
- Approve scope changes via written Change Order
- Make go/no-go decisions at agreed milestone gates
- Resolve cross-site data governance questions within 3 business days

**Infrastructure**
- Provision required hardware per specifications at all sites
- Configure network access, VPN, and firewall rules as specified
- Provide remote access for Oction technical staff
- Ensure WAN connectivity between sites for management console (where applicable)
- Maintain backup systems per disaster recovery requirements

## 5. Oction Responsibilities

Oction shall:

**Delivery**
- Deploy AI systems at all sites meeting specifications in Section 2
- Configure system for cited, retrieval-grounded responses
- Achieve 74% accuracy on validation query set at each site
- Implement cross-site knowledge sharing per governance framework
- Deliver all documentation and training materials
- Provide 30-day stabilization support post-deployment

**Support**
- Provide technical support during deployment and UAT at all sites
- Dedicated account manager for Enterprise clients
- Respond to critical issues within 4 hours; 24/7 coverage for P1 incidents
- Monthly retainer includes: system monitoring, performance optimization, document re-ingestion, user support, feature updates, and quarterly business reviews
- Annual system health assessment and recommendations

**Training**
- Conduct up to 2 onboarding sessions per site for end users
- Provide administrator training for Client IT staff at each location
- Deliver written documentation for system operation
- Knowledge transfer on multi-site management and ingestion pipelines
- Train-the-trainer sessions for Client-led future onboarding

**Compliance**
- Maintain Client data within Client infrastructure only
- Handle data per applicable privacy law (PIPEDA / GDPR as relevant)
- Provide centralized audit trail of system access and queries across all sites
- Maintain confidentiality of all proprietary information
- Support Client compliance audits as required

## 6. Change Order Process

Any modification to scope, timeline, or fees requires a written Change Order signed by both parties.

**Process:**
1. Either party may request changes via written notice
2. Oction provides impact assessment within 3 business days
3. Parties negotiate terms of Change Order
4. Work on changed scope begins only after signed Change Order

**Common Change Order triggers:**
- Additional sites beyond those specified
- Additional departments per site
- Custom AI model training or fine-tuning
- Integration with enterprise systems (ERP, CRM, etc.)
- Legacy data digitization exceeding 5 TB total
- Additional expertise interviews beyond 10 persons
- Dedicated infrastructure or bare-metal deployment
- Timeline compression requiring additional resources

Change Orders may adjust fees per standard rates: additional site $50,000; additional department $15,000; legacy digitization $5,000/TB; custom integration $250/hour; expertise interviews $2,000/person.

## 7. Payment Terms

## 8. Limitations & Exclusions

**Data Preparation**
- Physical document scanning or OCR of paper records
- Manual data entry or transcription services
- Cleanup of corrupted or unreadable source files
- Data migration from proprietary formats requiring custom parsers
- Historical email archive processing exceeding 500 GB per site

**Infrastructure**
- Hardware procurement (unless specified in Change Order)
- Network infrastructure upgrades between sites
- Client-side backup or disaster recovery systems beyond configuration
- Integration with systems not specified in Section 2
- Cloud connectivity or hybrid deployment models

**Scope Boundaries**
- Custom AI model training beyond retrieval tuning
- Integration with external APIs or SaaS platforms
- Ongoing content creation or document authoring
- User support beyond the monthly retainer scope
- Custom reporting or BI dashboard development
- Penetration testing or security auditing (configuration only)

**Travel and Expenses**
- On-site travel costs for locations outside [REGION]
- Accommodation and per diem for extended deployments
- Visa or work permit arrangements

**Liability Limits**
- Oction not liable for decisions made based on AI outputs
- Client retains final review authority for all generated content
- Oction not responsible for data loss on Client systems

## 9. Signatures

This Statement of Work constitutes the entire agreement between the parties regarding the scope described herein. It supersedes all prior negotiations and agreements.
